iii TÓM TẮT Tiêu đề: Pháp luật về chuyển nhượng dự án đầu tư kinh doanh nhà ở thương mại, thực tiễn áp dụng tại Thành phố Hồ Chí Minh. Tóm tắt: Hiện nay, trong hoạt động kinh doanh bất động sản được các doanh nghiệp chú trọng đầu tư phát triển nhiều nhất vẫn là các dự án nhà ở thương mại. Trong hoạt động này, loại hình kinh doanh chuyển nhượng một phần hoặc toàn bộ dự án đầu tư kinh doanh nhà ở thương mại đang được các nhà đầu tư quan tâm thúc đẩy nhịp nhàng giữa cung và cầu đối với thị trường BĐS. Quy định của pháp luật về chuyển nhượng dự án BĐS vẫn còn nhiều mâu thuẫn, chồng chéo do đó gây khó khăn cho quá trình áp dụng pháp luật, dẫn đến nhiều vấn đề bất cập trong thực tiễn. Luận văn được triển khai nghiên cứu với mục tiêu phân tích, làm rõ các quy định pháp luật hiện hành về chuyển nhượng dự án ĐTKD NOTM, từ đó đưa ra những kiến nghị hoàn thiện quy định pháp luật nhằm triển khai có hiệu quả theo luật định về chuyển nhượng dự án ĐTKD NOTM trong tương lai ở nước ta. Tác giả chủ yếu tập trung sử dụng phương pháp phân tích, so sánh luật để làm rõ cơ sở lý luận và phương pháp thống kê, tổng hợp để đánh giá thực tiễn, từ đó đưa ra kết luận. Luận văn đã trình bày và phân tích những nội dung cơ bản trong quy định pháp luật về chuyển nhượng dự án ĐTKD NOTM: hình thức chuyển nhượng; điều kiện chuyển nhượng; thẩm quyền, trình tự và thủ tục chuyển nhượng; quyền và nghĩa vụ của các bên liên quan; hợp đồng chuyển nhượng và đồng thời đánh giá việc áp dụng pháp luật những quy định trên tại thực tiễn TP Hồ Chí Minh, từ đó đưa ra những kiến nghị, giải pháp cho các cơ quan lập pháp, hành pháp ở Trung ương, UBND TP Hồ Chí Minh và Hiệp hội BĐS Hồ Chí Minh (HoREA) góp phần hoàn thiện khung pháp lý và thực hiện hiệu quả quy định pháp luật về chuyển nhượng dự án ĐTKD NOTM. Abstract: Currently, in real estate trading, businesses still focus on investing and developing commercial housing projects the most. In this activity, the type of trading that transfers of all or a portion of commercial housing business investment projects are interested in and promoted rhythmically between supply and demand in the real estate market by investors. The legal regulations on real estate project transfer are still conflicted and overlapping, so making it difficult for the law application process leads to many inadequacies in practice. The dissertation is implemented and researched with the goal of analyzing and clearly demonstrating the current legal regulations on the transfer of commercial housing business investment projects, thereby making recommendations to improve legal regulations in order to effectively implement the law on transfer of commercial housing business investment projects in the future in our country. The author mainly focuses on using the analytical and comparative law methods to clarify the theoretical basis and the statistical and synthetic methods to evaluate practice, thereby drawing conclusions. The dissertation has presented and analyzed the basic contents of the law on transfer of commercial housing business investment projects: form of transfer, requirements in terms of transfer; competence in transfer, order and procedures for transfer, rights and obligations of related parties in agreement on transfer; agreement on transfer, and at the same time has evaluated the legal application of the above regulations in practice in Ho Chi Minh city, from there, making recommendations and solutions for the legislative and executive agencies at the central level, the People's Committee of Ho Chi Minh City and the Ho Chi Minh City Real Estate Association, in order to improve the the legal framework and implement effectively of regulations in the law on transfer of commercial housing business investment projects.
